Terms of Service

These Terms of Service ("Terms") govern your use of Clairity Cutover Management ("Clairity", "we", "us", or "our"). By creating an account or using the service, you agree to be bound by these Terms. If you do not agree, do not use the service.

If you are accepting these Terms on behalf of an organization, you represent that you have the authority to bind that organization.

1. Description of Service

Clairity is a web-based cutover management platform that allows organizations to plan, assign, and execute IT cutovers and go-live events. The service includes project management, task tracking, dependency management, risk registers, team collaboration, and reporting tools.

The service is provided on an "as is" and "as available" basis. We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice where possible.

2. Accounts and Registration

To use Clairity, you must create an account with a valid email address and password. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Ensuring that all users you invite or add to your organization comply with these Terms
  • Notifying us immediately of any unauthorized use of your account

You must be at least 18 years old to use this service. Accounts are for individual use and must not be shared between multiple people.

3. Acceptable Use

You agree not to use Clairity in any way that:

  • Violates any applicable law or regulation
  • Attempts to gain unauthorized access to other users' or organizations' data
  • Transmits harmful, offensive, or fraudulent content
  • Introduces malware, viruses, or other malicious code
  • Interferes with the operation of the platform or its infrastructure
  • Reverse engineers, decompiles, or attempts to extract the source code of the service
  • Resells or sublicenses access to the service without our written consent

We reserve the right to suspend or terminate accounts that violate these provisions without notice.

4. Plans, Pricing, and Billing

4.1 Plan Tiers

Clairity is offered on three tiers:

  • Free — 1 project, 3 team members, 1 Admin account. No payment required.
  • Paid — Unlimited projects, unlimited team members, up to 2 Admin accounts, task import from Excel, and Gantt chart export. Billed per organization.
  • Enterprise — All Paid features plus 3 or more Admin accounts, dedicated onboarding, custom SLA, invoice billing, and a countersigned Data Processing Agreement. Pricing by arrangement — contact us via the Enterprise inquiry form.

4.2 Paid Plan Pricing

The Paid plan is priced per organization (not per user). Current pricing is:

  • Monthly billing: USD $74.99 per month
  • Annual billing: USD $749.00 per year (equivalent to approximately $62.42 per month)

Prices are listed in US Dollars and are exclusive of any applicable taxes, levies, or duties. Where required by law, applicable taxes will be added at checkout.

We reserve the right to change pricing at any time. Existing subscribers will receive at least 30 days' notice of any price increase before it applies to their subscription.

4.3 Billing and Auto-Renewal

Subscriptions begin on the date of purchase and renew automatically at the end of each billing period (monthly or annual) unless canceled beforehand. By providing payment details, you authorize Clairity to charge the applicable subscription fee on a recurring basis.

Payment is processed by Stripe, Inc. ("Stripe"). Your payment details are held securely by Stripe and are never stored on Clairity's servers. Use of the payment service is subject to Stripe's own terms and privacy policy.

4.4 Failed Payments

If a payment fails, we will notify you by email and mark your account as past due. You will retain full Paid plan access during a short grace period while the payment is retried. If payment is not recovered after reasonable attempts, your subscription will be canceled and your account will revert to the Free plan limits.

4.5 Cancellation and Downgrade

You may cancel your Paid subscription at any time via the Billing section in your account settings, which links to Stripe's secure customer portal. On cancellation:

  • You retain full Paid plan access until the end of your current billing period.
  • At the end of the period, your account reverts to the Free plan. Your data is not deleted.
  • If your organization had 2 Admin accounts, the second Admin (by account creation date) will lose login access upon downgrade. The original Admin retains full access.
  • Existing projects, tasks, and team members exceeding Free plan limits are preserved in read-only form.

4.6 Refund Policy

All subscription fees are non-refundable except where required by applicable law. There is no pro-rata refund for unused days within a billing period. If you cancel before your renewal date, you will not be charged for the next period.

If you believe you have been charged in error, please contact us at billing@clairity-co.com within 30 days of the charge and we will investigate promptly.

4.7 Admin Seat Limits

The number of Admin accounts permitted per organization is determined by plan tier:

  • Free: 1 Admin account
  • Paid: Up to 2 Admin accounts
  • Enterprise: Custom — as agreed in writing

Attempting to invite a third Admin on the Paid plan, or a second Admin on the Free plan, will be blocked. If you need more than 2 Admin accounts, please contact us about Enterprise pricing.

5. Your Data

You retain full ownership of all content and data you enter into Clairity, including projects, tasks, risks, and notes. By using the service, you grant us a limited license to store, process, and display your content solely for the purpose of delivering the service to you.

We do not claim any intellectual property rights over your data. We will not use your content for any purpose outside of operating and improving the service.

Upon account termination, you may request an export of your data before deletion. We will make reasonable efforts to provide this within 14 days of request.

6. Intellectual Property

The Clairity platform, including its design, code, brand, and documentation, is owned by Clairity Cutover Management and protected by applicable intellectual property laws. These Terms do not grant you any rights to use our trademarks, logos, or brand elements.

7. Disclaimer of Warranties

To the maximum extent permitted by law, Clairity is provided without warranties of any kind — express or implied — including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the service will be uninterrupted, error-free, or free from security vulnerabilities. You use the service at your own risk. Clairity is a planning and coordination tool — the success of any cutover or go-live event is the responsibility of your team, not Clairity.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Clairity and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of data or business interruption
  • Costs of substitute services
  • Revenue or profit loss arising from a failed cutover event
  • Any damages arising from your reliance on information in the platform

In all cases, our total aggregate liability to you shall not exceed the amount you paid us in the 12 months preceding the claim, or $100 USD, whichever is greater.

9. Indemnification

You agree to indemnify and hold harmless Clairity and its team from any claims, losses, liabilities, damages, or expenses (including legal fees) arising from your use of the service, your violation of these Terms, or your violation of any third-party rights.

10. Termination

You may terminate your account at any time by contacting us or using any self-service account deletion feature in the application. We may suspend or terminate your access immediately if we believe you are in breach of these Terms.

Upon termination, your right to use the service ceases immediately. Sections 5, 6, 7, 8, and 9 survive termination.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or via a notice within the application at least 14 days before the changes take effect. Your continued use of the service after the effective date constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes arising from these Terms or your use of the service shall be subject to the exclusive jurisdiction of the relevant courts in the applicable territory.
